Tens CLIENT Booking Agreement

This Client Booking Agreement (“Agreement”) is made by and between Tens Management LLC (“Tens”) and the undersigned client (“Client”).

This agreement outlines the terms and expectations for any client booking talent through Tens. It exists to protect the integrity of the engagement and create a clear, respectful and professional experience for everyone involved.

Tens manages every stage of the booking process. All communication, scheduling and coordination must flow directly through the Tens team. This includes availability checks, expectations, timing, compensation and any adjustments to the engagement. Direct communication between the Client and the talent outside the Tens-managed channel is not permitted.

To maintain fairness for both clients and talent, compensation is handled exclusively by Tens. Discussing rates, payments or future opportunities privately with talent is prohibited. Any attempt to negotiate or arrange business with talent outside Tens triggers a $1,000 breach fee. Attempts to bypass Tens or solicit talent directly for future work result in a $1,000 circumvention fee, in addition to the full value of the booking.

Tens will create and oversee a designated communication thread (email, text or WhatsApp) that includes the Client, the talent and the Tens representative. All project details, including call sheets, wardrobe notes, access instructions, schedules and expectations, must be provided to Tens at least 72 hours before the engagement, unless otherwise agreed. Clear communication ensures the talent can perform their role without disruption or confusion.

Talent cannot be asked to complete tasks outside the agreed scope. This includes extended hours, physical labor, creative shifts, additional duties or anything not approved by Tens. Any change in scope, timing or expectations must be routed through Tens and approved before reaching the talent.

Overtime

Any request to extend the engagement beyond the agreed end time must be approved through Tens before the extension begins. Overtime is billed at the updated rate provided by Tens. Talent cannot remain on site longer than the agreed hours without written approval.

Breaks & Basic Accommodations

For engagements lasting more than five consecutive hours, Client must ensure talent receives reasonable breaks and access to water and restrooms.

Media Usage Rights

Any photo, video or media involving talent must be used solely for the project described in this agreement. Additional usage requires written approval from Tens and may incur licensing fees.

No Third-Party Transfer

Client may not transfer, assign, loan or redirect talent to any third party without written approval from Tens.

Dress Code Clarity

Client may not request new wardrobe, grooming changes or appearance adjustments on site that differ from what Tens approved in advance.

Content Creation Boundaries

Talent cannot be asked to create additional content or appear in extra media outside the agreed scope. Any additional content requires approval through Tens.

Non-Hostile Environment

Client must maintain a professional and respectful environment free from hostility, aggressive behavior or unsafe conditions.

No Drugs / No Pressured Alcohol

Talent may not be asked or pressured to consume alcohol and cannot be placed in environments involving illegal substances. Client is responsible for maintaining a lawful and safe environment.

No Unapproved Touching

Client, guests and staff may not touch or physically guide talent without explicit consent and professional necessity. Any violation results in immediate removal without refund.

Client Responsibility Clause

Client acknowledges responsibility for the conduct of all individuals present at the engagement, including staff, guests and partners. Any violation of this agreement by associated individuals will be treated as a violation by the Client.

Force Majeure

Neither party is liable for delays or cancellations caused by events outside reasonable control, including emergencies, venue issues or severe weather.

Payment

Tens requires full payment upfront for all bookings. This secures scheduling, protects Talent time and allows Tens to coordinate the engagement without delay. If Tens, at its discretion, allows a Client to proceed before payment is received, the booking becomes active once the Client has verbally agreed and signed this agreement. In these cases, payment must be completed by the time verbally agreed upon between the Client and the Tens representative.

Secured Talent Cancellation Fee

Once the Client has verbally agreed to move forward and signed this agreement, Tens begins coordination and reserves the Talent’s time. If the Client cancels after signing, or cancels before completing payment, a cancellation fee equal to 40% of the total booking value becomes immediately due. This fee reflects the time reserved for the engagement, the administrative preparation completed and the scheduling adjustments made on behalf of the Client.

If the cancellation fee is not resolved promptly, Tens will pause any current work and stop all work across all active or pending projects with the Client until the balance is cleared.

Non-Solicitation

For 12 months following the engagement, Client may not hire, solicit or attempt to work directly with any talent introduced by Tens without going through Tens. Any violation results in the $2,500 non-solicitation fee, plus the full value of any work arranged.

By signing below, the Client confirms they have the authority to enter this Agreement and accept all terms, responsibilities and boundaries outlined here. This Agreement applies to the engagement identified and any extensions, additions or new opportunities involving the same talent unless Tens approves otherwise in writing.
