TENS CREATIVE SERVICES AGREEMENT
1. Representation and Communication
Tens manages all communication, scheduling and coordination for every project. Contractor agrees that all conversations with clients must go through Tens. Direct discussions about availability, rates or future opportunities outside Tens are not permitted. Any approach from a client must be redirected to Tens immediately.
2. Scope of Work
Tens will provide all important details before each engagement, including expectations, timelines, locations and deliverables. Contractor agrees to complete only what Tens approves. Any requests from clients for additional tasks or changes must be routed through Tens before Contractor agrees to them.
3. Deliverables and Deadlines
All deliverables are confirmed by Tens prior to the engagement. Contractor agrees to deliver files by the deadline provided by Tens. Any delays must be communicated immediately.
4. Ownership of All Creative Work
All work created during any Tens engagement belongs exclusively to Tens Management LLC. This includes photos, videos, edits, raw files, audio, behind the scenes captures and any creative output produced during or related to the engagement.
Contractor holds no ownership of the content. Contractor may not use, display, upload, publish or share any part of the work for personal use, portfolios, social media, resumes, showreels or third party platforms unless Tens gives written approval.
Raw files may not be stored, duplicated or distributed by the Contractor outside what Tens authorizes.
5. Usage and Posting Restrictions
Contractor may not post behind the scenes content, show project details, share footage or use any portion of the engagement online or offline without explicit written permission from Tens. This includes:
Instagram posts or stories
TikTok videos
YouTube uploads
Portfolio posts
Personal websites
Private groups
Messaging apps
Any unauthorized posting, sharing or disclosure is considered a breach of this Agreement and may trigger penalties.
6. Confidentiality
All project information, including client identity, rates, locations, deliverables, internal conversations and on-site details, is confidential. Contractor may not disclose or discuss any part of the engagement unless Tens provides written approval.
Discussing payments, booking details or Tens operations privately with anyone, including other contractors or talent, is prohibited.
Any breach gives Tens the right to remove the Contractor from the roster and apply the penalties listed below.
7. Penalties for Breach
To protect Tens, its clients and its ecosystem, the following penalties apply:
Discussing rates privately: $1,000 breach fee
Attempting to negotiate or book with a client directly: $2,500 circumvention fee plus the full value of the booking
Posting photos, videos or BTS content without permission: $1,500 unauthorized usage fee
Disclosing confidential information: $2,000 confidentiality breach fee
Using Tens content in personal portfolios without approval: $1,000 unauthorized use fee
These penalties may be applied individually or together depending on the severity of the breach. Tens may also terminate the Contractor’s relationship with Tens at its discretion.
8. Revisions
Any revisions outside what Tens approves must be routed through Tens. Additional compensation may be required for extra work.
9. Professional Standards On Site
Contractor must maintain a polished, respectful and professional presence at all times. Disruptive behavior or anything that conflicts with Tens standards may result in immediate removal from the engagement and a review of future opportunities.
10. Alcohol and Substances
Contractor may not consume alcohol while working unless Tens approves it. Illegal substances are never permitted.
11. Equipment Responsibility
Contractor is responsible for their own equipment unless Tens approves exceptions. Tens is not responsible for damaged or lost gear.
12. Boundaries and Talent Interaction
Contractor may not physically reposition talent or direct them in ways that violate personal boundaries. Any concerns must be reported to Tens immediately.
13. Payment
All payment is handled by Tens. Contractor may not discuss payment with clients. Payment will be issued after Contractor submits approved deliverables.
14. Non Solicitation
For twelve months following any introduction facilitated by Tens, Contractor may not accept or negotiate work privately with any client introduced by Tens. All opportunities must go through Tens.
15. Cancellations and Delays
If an emergency prevents attendance, Contractor must notify Tens immediately. Tens will determine next steps.
16. Safety
If Contractor encounters an unsafe environment, inappropriate behavior or anything that disrupts the engagement, they must notify Tens immediately.
17. Brand Alignment and Conduct Expectations
Contractor represents Tens at every engagement and must maintain behavior and presentation that reflect Tens standards. Contractor must present themselves in a polished, reliable and professional manner. If Contractor behaves in a way that conflicts with these expectations, including unprofessional conduct, visible intoxication or refusal to follow approved instructions, Tens may remove the Contractor from the engagement and reconsider future involvement.
18. Agreement to Uphold Tens Standards
By signing below, Contractor confirms that they understand and agree to uphold the expectations, restrictions and standards outlined in this Agreement for every engagement under Tens Management LLC.
